Jake is a partner in Dentons Lexington office and focuses primarily on real estate and business transactions.
He helps clients navigate a broad range of commercial real estate matters, including acquisitions, dispositions, leases, financing, development, identifying and curing title defects and issuing title insurance, economic incentives, condominiums and other air rights development, real estate operation, land use/zoning, evictions, and the resolution of contract and other disputes involving real estate and property rights.
He also provides clients with general counsel services and advises clients in connection with business mergers and acquisitions and asset sales and purchases, forming and structuring LLCs for real estate and other ventures, creating, interpreting, and enforcing a variety of commercial contracts, and other general corporate matters.
In addition, Jake assists borrowers and lenders in connection with real estate, asset-based, and corporate financing, including the documenting, modification, refinancing, sale, assignment, assumption, and participation of term, construction, revolving, and other loans, facilities, and forms of financing. His experience extends to restructurings, forbearances, workouts, receiverships, and commercial foreclosures.
Jake has been involved numerous complicated business and real estate transactions ranging in value from under $1MM to over $100MM.
Experience
- Served as legal counsel to German American Bancorp Inc. on its announced deal to acquire Citizens Union Bancorp of Shelbyville, Inc. (CUB). The deal is preliminarily valued at $154 million, and the transaction is expected to close in the first quarter of 2022, subject to approval by regulatory authorities.
- U.S. Bank National Association v. Courtyards University of Kentucky, LLC, 594 S.W.3d, KY Ct. App. (2019): Holding a bank's lack of awareness about new sale date did not constitute sufficient surprise or misapprehension to warrant setting aside sale.
